Disclaimer & Limitation of Liability
MLS.PH is an online real estate listing and marketplace platform only. MLS.PH does not own, sell, broker, inspect, verify, endorse, guarantee, or participate in any transaction between users unless expressly stated otherwise.
All listings, content, communications, negotiations, agreements, and transactions are solely the responsibility of the users involved. Users are responsible for conducting their own due diligence, verification, legal checks, property inspections, and risk assessment before entering into any transaction or agreement.
By using MLS.PH, you acknowledge and agree that you use the platform entirely at your own risk.
To the fullest extent permitted by applicable law, MLS.PH, including its owners, operators, affiliates, employees, partners, and service providers, shall not be liable for any loss, damage, claim, dispute, fraud, misrepresentation, financial loss, failed transaction, service interruption, data loss, or any direct, indirect, incidental, consequential, or other damages arising from:
- the use of the platform;
- any listings or content posted on the platform; or
- any interaction, communication, agreement, or transaction between users or third parties.
All services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
By continuing to access or use MLS.PH, you agree to release and hold harmless MLS.PH from any liability to the fullest extent permitted by law.
1. Acceptance of Terms
Welcome to MLS.PH. These Terms of Use ("Terms") constitute a legally binding agreement between you and Casuy Pte Ltd, a company incorporated in Singapore, which operates MLS.PH ("Company," "we," "us," or "our") governing your access to and use of the MLS.PH website, mobile applications, and all related services (collectively, the "Platform").
BY ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE PLATFORM.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform following the posting of revised Terms means you accept and agree to the changes.
2. Eligibility
You must be at least eighteen (18) years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
3. Description of Services
MLS.PH is an online real estate marketplace that connects property sellers, buyers, landlords, tenants, real estate brokers, and salespersons in the Philippines. Our Platform provides:
- Property listing services for residential and commercial real estate
- Search and discovery tools for properties across the Philippines
- Communication tools to connect buyers and sellers
- User profiles and verification services
- Market information and property data
MLS.PH does not provide real estate brokerage services directly and is not a party to any real estate transaction conducted through the Platform. We are a technology platform that facilitates connections between real estate market participants.
4. Account Registration and Security
To access certain features of the Platform, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Not share your account credentials with any third party
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate your account if any information provided is inaccurate, not current, or incomplete, or if we have reasonable grounds to suspect fraud or misuse.
5. Communications and Marketing
By registering for an account on MLS.PH, you expressly consent to receive communications from us, including but not limited to:
- Transactional emails related to your account (verification, password reset, listing updates, inquiry notifications)
- Marketing and promotional communications about our services, features, and offerings
- Newsletters containing real estate market updates, tips, and industry news
- Notifications about new properties matching your search preferences
- Promotional offers, discounts, and special deals from MLS.PH
- Announcements about new features, services, and platform updates
- Partner promotions and third-party offers relevant to real estate
- Surveys and requests for feedback about our services
You may receive these communications via email, SMS, push notifications, or other electronic means using the contact information you provided during registration.
While you may opt out of certain marketing communications by clicking the "unsubscribe" link in emails or adjusting your notification preferences, you cannot opt out of essential transactional communications related to your account and platform functionality.
BY CREATING AN ACCOUNT, YOU ACKNOWLEDGE AND AGREE THAT MLS.PH MAY SEND YOU MARKETING AND PROMOTIONAL COMMUNICATIONS, AND YOU CONSENT TO RECEIVE SUCH COMMUNICATIONS.
6. User Content and Property Listings
The Platform allows users to post property listings, photographs, descriptions, and other content ("User Content"). By submitting User Content, you represent and warrant that:
- You have the legal right to list the property (as owner, authorized agent, or licensed broker/salesperson)
- All information is accurate, complete, and not misleading
- Photos and media are genuine representations of the property
- Pricing and terms are accurate and current
- The listing does not violate any applicable laws or third-party rights
- You will promptly update or remove listings when properties are sold, rented, or no longer available
You retain ownership of your User Content but grant MLS.PH a non-exclusive, worldwide, royalty-free license to use, display, reproduce, modify, and distribute your User Content in connection with operating the Platform.
We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, without prior notice.
7. Verification Badges
MLS.PH offers verification badges to enhance trust and transparency on the Platform:
- Verified: User has verified their email address and provided a valid social media profile link for identity verification
- Verified Broker: User has submitted a PRC ID for a real estate broker license that is internally consistent with the account details on file. MLS.PH does not contact, verify with, or act on behalf of the PRC.
- Verified Salesperson: User has submitted a PRC ID for a real estate salesperson license that is internally consistent with the account details on file. MLS.PH does not contact, verify with, or act on behalf of the PRC.
Verification badges reflect only that the user submitted a document consistent with their account information at the time of submission. MLS.PH does not verify with, represent, or act on behalf of the Professional Regulation Commission (PRC) or any other institution, and a badge is not a guarantee that the user is currently licensed, in good standing, or otherwise qualified. Badges do not constitute an endorsement of users, do not guarantee the accuracy of listings, and do not guarantee the outcome of any transaction.
8. Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Posting false, misleading, or fraudulent listings or information
- Impersonating any person or entity, or falsely claiming affiliation
- Violating any applicable local, national, or international laws or regulations
- Harassing, threatening, or abusing other users
- Sending spam, unsolicited communications, or promotional materials
- Attempting to gain unauthorized access to the Platform or other users' accounts
- Using the Platform for any illegal purposes, including money laundering or fraud
- Scraping, crawling, or using automated means to collect data from the Platform
- Interfering with or disrupting the Platform or servers
- Circumventing any security measures or access controls
- Using the Platform to distribute malware or harmful code
- Listing properties you are not authorized to list
9. Real Estate Licensing
If you are a real estate broker or salesperson using the Platform, you represent and warrant that:
- You hold a valid and current license issued by the Professional Regulation Commission (PRC) of the Philippines
- You will comply with all applicable real estate laws and regulations
- You will maintain your license in good standing throughout your use of the Platform
- You will promptly notify us if your license is suspended, revoked, or expires
10. Fees and Payments
Basic listing services on MLS.PH are currently provided free of charge. We reserve the right to introduce premium features, subscription plans, or transaction-based fees in the future. Any such changes will be communicated to users in advance with clear pricing information.
If you subscribe to any paid services, you agree to pay all applicable fees. All fees are non-refundable unless otherwise specified.
11. Intellectual Property Rights
The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement) are owned by MLS.PH, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform without our prior written consent.
12. Third-Party Links and Services
The Platform may contain links to third-party websites, services, or content that are not owned or controlled by MLS.PH. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
You acknowledge and agree that MLS.PH shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
13. Disclaimer
MLS.PH is a technology platform only. We do not provide, and shall not be deemed to provide, any legal, financial, tax, accounting, real estate, brokerage, or other professional advice. All information on the Platform — including listings, market data, property statistics, calculators, articles, guides, FAQ answers, and any other content — is provided for general informational purposes only and should not be relied upon as professional advice.
Interest rates, fees, taxes, government processes, license requirements, and program rules referenced on the Platform change over time and may vary by location, lender, agency, developer, or property. You are responsible for verifying current details directly with the relevant authority or institution, including but not limited to the Bureau of Internal Revenue (BIR), Registry of Deeds, the Local Government Unit Treasurer's and Assessor's Office, Pag-IBIG Fund (HDMF), Bangko Sentral ng Pilipinas (BSP), HLURB / DHSUD, the Department of Agrarian Reform (DAR), the Professional Regulation Commission (PRC), your bank, your developer, or your licensed broker, lawyer, or accountant.
You should consult with qualified professionals before making any real estate decision or transaction. MLS.PH does not represent, broker, guarantee, endorse, or warrant any property, listing, transaction, or user — including holders of any verification badge — and is not liable for any decisions you make, communications you exchange, transactions you enter into, or losses you incur based on information found on the Platform or interactions with other users.
14. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. MLS.PH DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- The accuracy, completeness, or reliability of any listings or information
- The quality, safety, legality, or availability of properties listed
- The physical condition, structural integrity, or fitness of any property
- The qualifications, background, identity, or legitimacy of any user
- The ability of sellers to sell or buyers to buy
- The validity of property titles, ownership, or encumbrances
- That the Platform will be uninterrupted, secure, or error-free
- That any defects will be corrected
MLS.PH DOES NOT INSPECT, VERIFY, OR GUARANTEE ANY PROPERTY LISTED ON THE PLATFORM. We cannot and do not verify property conditions, ownership, legal status, zoning compliance, or any other aspect of properties. All property information is provided by users and may be inaccurate, incomplete, or outdated.
You are solely responsible for conducting your own due diligence, including property inspections, title searches, and verification of all information before entering into any real estate transaction.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MLS.PH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, goodwill, or business opportunities
- Property damage, personal injury, or death
- Fraudulent, false, misleading, or illegal listings by users
- Damages arising from any transaction, negotiation, or communication between users
- Failure of any user to complete a transaction
- Disputes over property ownership, title, boundaries, or conditions
- Financial losses from real estate investments or transactions
- Unauthorized access to or alteration of your data
- Any conduct, actions, or omissions of third parties on the Platform
- Service interruptions, system failures, or data loss
- Reliance on any information provided on the Platform
MLS.PH IS NOT A PARTY TO ANY REAL ESTATE TRANSACTION AND BEARS ABSOLUTELY NO RESPONSIBILITY FOR ANY DISPUTES, LOSSES, DAMAGES, OR CLAIMS ARISING FROM TRANSACTIONS OR INTERACTIONS BETWEEN USERS. ALL TRANSACTIONS ARE CONDUCTED SOLELY BETWEEN USERS AT THEIR OWN RISK.
To the fullest extent permitted by law, our total aggregate liability to you for any and all claims arising out of or relating to these Terms or the Platform shall not exceed the greater of: (a) the total fees, if any, you paid us during the twelve (12) months preceding the event giving rise to the claim, or (b) one United States dollar (US$1.00).
Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
16. User Responsibility and Assumption of Risk
By using the Platform, you acknowledge and agree that:
- You are solely responsible for all your actions, decisions, and transactions on the Platform
- You will independently verify all property information, including ownership, title, condition, and legal status
- You will conduct proper due diligence before entering into any transaction
- You assume all risks associated with real estate transactions, including fraud, misrepresentation, and financial loss
- You will engage qualified professionals (lawyers, engineers, brokers) as needed
- You release MLS.PH from any and all claims arising from your use of the Platform or transactions with other users
YOU EXPRESSLY WAIVE AND RELEASE MLS.PH FROM ANY AND ALL LIABILITY, CLAIMS, CAUSES OF ACTION, OR DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE PLATFORM OR ANY TRANSACTION WITH ANOTHER USER.
17. Indemnification
You agree to defend, indemnify, and hold harmless MLS.PH, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your User Content or property listings
- Your use or misuse of the Platform
- Any transaction or interaction with another user
- Your violation of any rights of another party
- Your violation of any applicable laws or regulations
- Any claim by a third party related to your property listings or transactions
- Any misrepresentation made by you
This indemnification obligation shall survive the termination of your account and these Terms.
18. Force Majeure
MLS.PH shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, epidemics, pandemics, strikes, labor disputes, shortage of transportation, fuel, energy, labor, or materials, failure of telecommunications or internet infrastructure, cyberattacks, or government actions.
19. Termination and Account Suspension
MLS.PH reserves the absolute right to suspend, deactivate, or permanently terminate your account and access to the Platform immediately, without prior notice, refund, or liability, for any reason at our sole discretion, including but not limited to:
- Breach of these Terms
- Fraud, attempted fraud, or suspected fraudulent activity
- Misrepresentation of identity, credentials, or property information
- Posting false, misleading, or deceptive listings
- Impersonation of licensed brokers, salespersons, or property owners
- Using fake documents or falsified professional licenses
- Scamming, deceiving, or attempting to defraud other users
- Money laundering or any illegal financial activity
- Listing properties you do not own or have authority to list
- Multiple complaints from other users
- Harmful, abusive, or threatening conduct toward other users
- Request by law enforcement or government agencies
- Any activity that may harm the Platform, its users, or MLS.PH's reputation
IN CASES OF FRAUD, MISREPRESENTATION, OR ILLEGAL ACTIVITY, MLS.PH RESERVES THE RIGHT TO:
- Immediately and permanently ban the user from the Platform
- Remove all listings and content associated with the user
- Report the user to appropriate law enforcement authorities
- Cooperate with investigations by government agencies
- Share relevant information with other users who may have been affected
- Pursue legal action and seek damages against the user
- Blacklist the user from creating future accounts
You may terminate your account at any time by contacting us. Upon termination, your right to use the Platform will immediately cease, and your User Content may be deleted. MLS.PH is not liable for any loss of data or content upon account termination.
20. Governing Law
These Terms shall be governed by the laws of Singapore.
21. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
22. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and MLS.PH regarding the use of the Platform and supersede all prior agreements and understandings.
